End User License Agreement

KBF Design Gallery, LLC
1. Agreement
This End User License Agreement (“Agreement”) governs the use of KBF Design Gallery’s internal business applications that connect to QuickBooks Online, including the WIP and CashFlow Forecaster and ATLAS Production Sync (each, “the Application”), developed by and for KBF Design Gallery, LLC (“KBF”). By accessing or using an Application, you agree to the terms of this Agreement.
2. License Grant
KBF grants authorized employees and contractors of KBF Design Gallery a limited, non-exclusive, non-transferable license to use the Applications solely for KBF’s internal business operations. The Applications are not available for use by the general public or external parties.
3. Permitted Use
The Applications may be used exclusively for: accessing KBF’s QuickBooks Online financial data, generating cash flow forecasts and financial reports, tracking project costs and margins, and managing accounts receivable and payable information. Use of an Application for any purpose other than KBF’s internal business operations is prohibited.
4. Restrictions
Users shall not: redistribute, sublicense, or make an Application available to any third party; use an Application to access any QuickBooks Online account other than KBF’s authorized company account; attempt to reverse engineer, decompile, or modify an Application; or use an Application in any manner that violates applicable laws or Intuit’s terms of service.
5. Data and Privacy
The Applications access financial data from KBF’s QuickBooks Online account. All data handling is governed by KBF’s Privacy Policy. Users are responsible for maintaining the confidentiality of any financial data accessed through the Applications.
6. Intellectual Property
The Applications and all associated code, documentation, and materials are the property of KBF Design Gallery, LLC. This Agreement does not transfer any ownership rights to users.
7. Disclaimer of Warranties
The Applications are provided “as is” without warranty of any kind, express or implied. KBF does not warrant that the Applications will be error-free or uninterrupted. Financial data and forecasts generated by the Applications are for informational purposes and should not be relied upon as the sole basis for financial decisions.
8. Limitation of Liability
In no event shall KBF be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the Applications, including but not limited to loss of data or financial losses.
9. Termination
KBF may terminate this license at any time. Upon termination, users must cease all use of the Applications and delete any locally stored data obtained through them.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
